TXNM Energy, Blackstone Delay Merger Over Scrutiny of Stock Trade

TXNM Energy (TXNM) said Friday it has delayed its planned merger deal with Blackstone (BX) Infrastructure through which Blackstone is set to acquire its outstanding common stock.The termination date under the agreement has now been set to May 31, 2027, giving the parties more time to secure regulatory approvals.The deal has already been approved by TXNM shareholders, the Public Utility Commission of Texas, the Federal Energy Regulatory Commission, the Federal Communications Commission and under the waiting period required by the Hart-Scott-Rodino Antitrust Improvements Act.Among outstanding regulatory approvals are that of the Nuclear Regulatory Commission and the New Mexico Public Regulation Commission. The latter has been paused until a report is filed to show compliance with a commission order regarding a 2025 stock transaction between TXNM and Blackstone Infrastructure, the statement said.TXNM Energy said it has entered into a $400 million term loan in order to unwind "the voided 2025 stock transaction."
