Bending Spoons (BSP) has agreed to acquire workspace collaboration platform Miro in an all-cash deal with an enterprise value of about $1.36 billion, as part of the Italian technology company's strategy to purchase digital businesses and optimize them for long-term ownership.The transaction implies an equity value of roughly $1.79 billion, Bending Spoons said Thursday. Certain Miro shareholders also agreed to invest $295 million of their proceeds in newly issued stock of the Italian firm.Shares of Bending Spoons, which began trading publicly on the Nasdaq in July, rose 6.4% in Thursday trade.Miro has generated around $600 million in annual recurring revenue, or ARR, with almost 90% from business and enterprise customers, Bending Spoons Chief Executive Luca Ferrari said in a statement.Miro, which acquired the artificial intelligence platform for product teams Reforge in March, serves more than 750 customers with over $100,000 in ARR, according to Miro CEO Andrey Khusid.The transaction, which requires regulatory approval, is expected to close in the fourth quarter. Both companies plan to operate independently until the deal closes.After completion, Bending Spoons aims to invest substantially in Miro's fundamentals that support critical collaborative work, according to Ferrari.
