Motorola Solutions to Acquire D-Fend Solutions in $1.5 Billion Deal

Motorola Solutions (MSI) said Monday that it agreed to acquire Israel-based D-Fend Solutions in a deal worth $1.5 billion as the company looks to expand its portfolio into the counter-drone technology space.Motorola, which provides safety and security solutions, said securing the airspace against unauthorized drones is becoming a "rapidly increasing global necessity."The ongoing Middle East conflict has seen drone and missile attacks across the Gulf region. Separately, a drone resulted in authorities temporarily shutting down Munich Airport in southern Germany on Saturday, Reuters reported.D-Fend Solutions' technology, which is being used by government, public safety and enterprise organizations across more than 30 countries, safely brings rogue drones to the ground, Motorola said. The Israeli company is expected to generate revenue of $185 million for 2026."Rogue drones have transformed our skies into a landscape of unpredictable risk, where simple detection is no longer enough," Motorola Chief Executive Greg Brown said in a statement. "With D-Fend, drone threats are not just identified -- their communications are overridden and redirected, safely bringing them to the ground, keeping people and communities safe."Shares of Motorola rose 2.5% in Monday trade, with the stock having gained 7.8% so far this year. The deal, which requires approval from regulators, is expected to complete in the fourth quarter."By leveraging Motorola Solutions' deep expertise and long-term customer relationships across public safety, federal and enterprise, we can deliver even greater impact to the communities and organizations we serve," D-Fend Solutions CEO Zohar Halachmi said in the statement.Last year, Motorola acquired Silvus Technologies, a provider of mission-critical mobile ad-hoc networks. In May, Motorola said it expected adjusted earnings between $16.87 and $16.99 per share for 2026 on revenue of roughly $12.8 billion. The current consensus on FactSet is for non-GAAP EPS of $16.96 and sales of $12.79 billion.Price: $414.20, Change: $+10.92, Percent Change: +2.71%

Research Alert: CFRA Maintains Buy Opinion On Shares Of Motorola Solutions, Inc.

CFRA, an independent research provider, has providedwith the following research alert. Analysts at CFRA have summarized their opinion as follows:We trim our 12-month target price by $50 to $450, 26.5x our 2026 EPS estimate, in line with its five-year forward average P/E of 26.4x. We raise our 2026 EPS estimate by $0.19 to $16.97 and increase 2027's by $0.38 to $18.49. MSI is experiencing high supply chain costs, including rising memory costs, which are expected to more than double in 2026 compared to the previous year. It is taking actions to mitigate these costs, but they remain a headwind. In addition, there are ongoing tariff headwinds, with projected impacts of $60 million for the year, primarily in the first half. This is due to new tariffs replacing previous ones, and there is continued uncertainty around the broader tariff framework. On the positive side, MSI continues to see sustained global prioritization of public safety, enterprise security, and defense spending, positioning it well for the remainder of the year.

Research Alert: Motorola Sees Strength In Software & Services But Pressure In Products

CFRA, an independent research provider, has providedwith the following research alert. Analysts at CFRA have summarized their opinion as follows:MSI reported Q1 revenue of $2.714B (+7%), driven by exceptional 18% growth in Software and Services to $1.155B, while Products segment grew modestly 1% to $1.559B. Non-GAAP EPS reached $3.37 (+6%), though GAAP EPS declined 14% to $2.18 due to increased intangible amortization and $75M contingent earnout adjustment. The record Q1 ending backlog of $15.7B (+11%) provides strong revenue visibility, with Software and Services backlog growing 13% driven by demand across all three technologies. Management raised full-year 2026 guidance, with revenue now expected at approximately $12.8B and non-GAAP EPS of $16.87-$16.99. We expect continued momentum from strategic acquisitions including the pending Bell Canada LMR services deal for ~$500M and recent product launches like SVX body-worn assistant. We will monitor progress on cost mitigation strategies as the company navigates elevated memory costs and supply chain pressures, while Silvus is expected to generate $675M in revenue, $75M above previous expectations.
