Analog Devices to Acquire Alif Semiconductor for $1.35 Billion

Analog Devices (ADI) agreed to acquire Alif Semiconductor in a $1.35 billion all-cash deal that will add artificial intelligence-native microcontrollers and fusion processors to its lineup.Analog Devices, which makes high-performance semiconductor chips and sensors for automotive, communications, consumer and industrial sectors, said Wednesday it may pay an incremental contingent consideration of up to $200 million."Combined with (Analog Devices') deep physical-domain expertise and broad analog system capabilities, we can expand our reach to deliver the solutions that can power the future of physical intelligence," Alif Co-Founder Reza Kazerounian said in a statement."This is the next frontier of AI: embodied and deterministic. This is physical intelligence in action," Analog Devices Chief Executive Vincent Roche said. The semiconductor company expects to close the deal before the end of the year, subject to closing conditions.Analog Devices' shares were up 0.3% Wednesday and have gained 34% this year."We are confident in our view that (Analog Devices) is buying a strong design/tech pipeline and purchasing technology that should combine well and prove complementary with (its) strong position in areas like sensors," Wedbush Securities Analyst Matt Bryson said in a note to clients Wednesday.Earlier this year, Analog Devices acquired Empower Semiconductor for $1.5 billion and packaged software platform Vizor Technology, which is doing business as VT Electron, for an undisclosed amount. In August, Seaport Research Partners said Analog Devices' acquisition of Empower expands its datacenter opportunity from the edges of the facility all the way to the rack, which is "significant."There's likely to be 100 gigawatts equivalent infrastructure built for data centers between now and 2031, Roche said on an earnings conference call, according to a FactSet transcript, adding that each gigawatt generates $1 billion to $1.5 billion analog serviceable addressable market, or SAM."This matters because the difference between SAM and (total addressable market, or TAM) is (that Analog Devices) has products to sell into a SAM, and has to either design or acquire products to convert more of that TAM into the SAM," Seaport Senior Analyst Jay Goldberg said. "This tells us (Analog Devices') management is being very disciplined in how they talk about this market, a welcome change."In other recent deals in the sector, power and sensing chips manufacturer ON Semiconductor (ON) agreed in June to acquire Synaptics (SYNA), which owns a portfolio of human-machine interface and wireless connectivity solutions, in a deal with an enterprise value of about $7 billion. Shareholders of Synaptics will receive 1.350 shares of onsemi for each share they own.Price: $363.61, Change: $+0.41, Percent Change: +0.11%

Analog Devices' Upbeat AI Data Center Opportunity Views Noteworthy, Seaport Says in Upgrade

Analog Devices' (ADI) upbeat remarks around its artificial intelligence data center opportunity are noteworthy, especially coming from a "conservative" management team, Seaport Research Partners said Thursday. On Wednesday, the semiconductor company projected above-consensus profit and sales for its fiscal fourth quarter, as robust data center and industrial demand for chips drove its third-quarter results above Wall Street estimates.Analog Devices now estimates that its 2030 data center and energy serviceable addressable market, or SAM, has more than doubled from what the company had envisioned just a year ago, Chief Executive Vincent Roche said on an earnings conference call, according to a FactSet transcript."A conservative management team, which took multiple opportunities to point out the realities of the market, is meaningfully raising its forecasts," Seaport Senior Analyst Jay Goldberg said in a note to clients Thursday. "In addition, most of the company's other end-markets are trending upwards, with inventories getting lean and lead times lengthening."The brokerage upgraded its rating on the Analog Devices stock to buy from neutral with a $425 price target. "Analog companies are notoriously cyclical, but there are now clear signs that (Analog Devices) has entered the growth phase of those cycles," Goldberg wrote. The company's shares were up 1% in afternoon trade, bringing its year-to-gains to 39%.There's likely to be 100 gigawatts equivalent infrastructure built for data centers between now and 2031, Roche said on the call, adding that each gigawatt generates $1 billion to $1.5 billion analog SAM.Although Analog Devices' AI opportunity isn't as big as what Seaport sees for rival Texas Instruments (TXN) and others, it is larger than what the brokerage had expected, according to the note."Loosely speaking, (Analog Devices') data center opportunity is strongest at around the edges of the data center -- from the point where electricity reaches the facility to the wall of the data center," Goldberg said. "With the acquisition of Empower, (Analog Devices) now claims their opportunity extends all the way to the rack, which is a significant expansion."Analog recently completed the acquisition of Empower Semiconductor, expanding its total addressable market, or TAM, and capabilities in AI compute power delivery.Seaport also took note of that fact that Analog Devices referred to its SAM in assessing its AI opportunity, and not TAM."This matters because the difference between SAM and TAM is (that Analog Devices) has products to sell into a SAM, and has to either design or acquire products to convert more of that TAM into the SAM," Goldberg said. "This tells us (Analog Devices') management is being very disciplined in how they talk about this market, a welcome change."Price: $375.57, Change: $+2.31, Percent Change: +0.62%

Analog Devices Guides For Above-Consensus Fourth Quarter Amid Robust Chip Demand

Analog Devices (ADI) on Wednesday projected above-consensus profit and sales for its fiscal fourth quarter, as robust data center and industrial demand for chips drove its third-quarter results above Wall Street estimates. For the ongoing quarter, the semiconductor company guided adjusted earnings per share of $3.71 to $4.01 on revenue of $4.2 billion to $4.4 billion. Analysts in a FactSet poll are looking for non-GAAP EPS of $3.54 and sales of $4.08 billion. For the quarter ended Aug. 1, adjusted EPS rose to $3.45 from $2.05 a year earlier, exceeding the consensus of $3.34. Revenue surged 40% to $4.02 billion, while analysts expected $3.92 billion."Demand for our solutions continues to grow, supported by robust (artificial intelligence) and defense spending, cyclical momentum and underlying secular content growth across our diversified end markets," Chief Executive Vincent Roche said on an earnings conference call, according to a FactSet transcript.Shares of Analog Devices gained 1.2% intraday. The stock has advanced 40% so far this year.Other chipmaking giants have recently reported strong quarterly results that reflected strong demand. Intel (INTC) reported a 25% year-over-year revenue gain for its second quarter, while Advanced Micro Devices (AMD) posted a 50% surge in quarterly sales. In a July 13 note, KeyBanc Capital Markets said "analog (was) tracking better than expected, sustaining the early upcycle momentum with data center and industrial demand driving extended lead times, broad-based price increases, and improving bookings."Analog chips are electronic components used for processing continuous signals."Supply remains increasingly tight as AI-related demand competes for non-AI analog capacity, driving continued price increases," KeyBanc said. For the just-concluded quarter, Analog Devices' industrial division delivered a 53% annual sales jump, while communications soared 84%. Revenue in the automotive and consumer segments also logged gains."Demand continued to strengthen across our product portfolio and regions throughout the third quarter, which is reflected in our record fourth quarter outlook," Chief Financial Officer Richard Puccio said in a statement. "We believe our balance of disciplined execution and targeted growth investments will enable us to finish the year strongly and carry that momentum into fiscal 2027."Price: $374.32, Change: $-2.31, Percent Change: -0.61%

US Equity Investors to Focus on Fed Policy Minutes, PMIs Alongside Trump's Move to Inflict Intense Economic Pain on Iran

US equity investors are expected to focus on macroeconomic data this week following recent soft prints that reduced the urgency for monetary policy tightening, while keeping an eye on any announcements that significantly ratchet up economic pain in Iran and quarterly earnings.* Economic data due this week includes the July minutes of the Federal Open Market Committee meeting, S&P Global manufacturing and services purchasing managers' indexes, industrial production, building permits and housing starts. Last week, both headline and core consumer and wholesale price inflation rates for July declined from a year ago, and retail sales slid unexpectedly in the month, the most since May 2025.* Watch for a potentially major escalation of trade and market tensions beginning this week, according to a note from Scotiabank late Friday. That's because US Treasury Secretary Bessent pledged to introduce "measures like have never been seen in the history of economic isolation of a country," referring to Iran.* Home Depot (HD), Analog Devices (ADI), TJX Companies (TJX), Lowe's Companies (LOW), Target (TGT), Walmart (WMT), Deere (DE), Ross Stores (ROST), NetEase (NTES) are among the companies reporting quarterly results next week.* The 60-day deadline for the conclusion of peace talks in the memorandum of understanding the US and Iran signed in June ended on Monday without any formal announcements so far to end the war.* Talks between Iran and Oman regarding the Strait of Hormuz are complex but continuing "in all seriousness," CNN reported, citing Iran's Foreign Ministry spokesman Esmaeil Baghaei on Monday.* Baghaei said a "transit route map" has been agreed upon, but a final agreement including a joint statement has not been finalized, CNN cited reporting from Tasnim. Referring to one of the reasons for the delay, Baghaei said some "malevolent parties" want the region to "always be in a state of conflict and chaos."
