Euro Sun Mining (ESM.TO) has entered into a non-binding memorandum of understanding for a senior project finance facility of up to $400 million to support the Rovina Valley Gold-Copper Project in Romania, the company said Thursday.
The MOU with Macquarie bank and Trafigura is subject to completion of due diligence, approvals and execution of definitive documentation.
Separately, the company has agreed to a term sheet with Urion Investments Holdings for a $3 million strategic equity investment. Urion would subscribe for about 21.5 million units at CA$0.19 per unit. Each unit will consist of one common share and one-half of one common share purchase warrant, exercisable to acquire one common share for CA$0.40 for a 48-month period following closing of the offering.
The offering is scheduled to close on Sept. 4. Net proceeds will be used for the Rovina Valley Project and general corporate purposes.
