Aurora Cannabis (ACB.TO) Wednesday morning urged shareholders to take no action on the unsolicited offer by Curaleaf Holdings (CURA.TO).
Curaleaf launched its unsolicited take-over bid for Aurora shares at $4.00 each on Tuesday, consisting of 0.3463 subordinate voting share of Curaleaf and $0.75 in cash per Aurora share.
"Contrary to assertions by Curaleaf, our door is always open to those that see value in our company," said Aurora CEO Miguel Martin. He added that Aurora had been in dialogue with Curaleaf since June 22, and "as recently" as August 12, 2026.
"Their objective is to acquire Aurora's highly strategic EU-GMP facilities and leading medical cannabis platforms at the lowest price possible, thereby depriving Aurora shareholders of any current and future value they generate," Martin said.
Aurora Cannabis shares were last seen up C$0.08, to C$5.18, on the Toronto Stock Exchange. Curaleaf shares were up C$0.10, to C$12.90.
