AiRWA (YYAI) said Monday it agreed to buy Hongkong Best Life Trade for a base price of $50 million plus potential performance payouts.
The company will pay $30 million at closing and $20 million within 90 days to purchase a 97% stake in Hong Kong Best Life Trade, the company said.
The agreement includes an extra $30 million payment if the acquired company reaches $10 million in fiscal 2026 revenue, as well as a $50 million payout if it hits $25 million in fiscal 2027, AiRWA said.
Shares of the company were down more than 9% in Monday premarket activity.
