Infroneer Cuts Conversion Price on 2029 Green Convertible Bonds

Infroneer (TYO:5076) will lower the conversion price for its zero-coupon green convertible bonds due 2029 to 1,660.4 yen from 1,722.8 yen following the approval of a 90 yen-per-share dividend, according to a Friday filing on the Tokyo Stock Exchange.Under the conditions of the bonds, holders can exercise stock acquisition rights before March 2028 only if the company's share price exceeds 150% of the conversion price over a specified trading period.Following the revision, the threshold will be 2,490 yen. The threshold for the later exercise period through December 2028 will be 2,158 yen.

Infroneer Unit Completes Tender Offer for Sumiken Mitsui Road Shares

Infroneer Holdings (TYO:5076) said its subsidiary Sumitomo Mitsui Construction completed a tender offer for shares of Sumiken Mitsui Road (TYO:1776), acquiring 3.9 million shares and raising its ownership to 95%, according to a Wednesday filing on the Tokyo Stock Exchange.The tender offer, launched on March 10, was conducted at 2,000 yen per share and exceeded the minimum acceptance threshold, resulting in the purchase of all tendered shares.Following the transaction, Sumitomo Mitsui Construction plans to carry out squeeze-out procedures to make Sumiken Mitsui Road a wholly owned subsidiary, which could lead to the company's delisting from the Tokyo Stock Exchange.

Infroneer Denies Media Report On Swing Acquisition Talks

Infroneer (TYO:5076) said a media report claiming it had decided to acquire waterworks operator Swing for over 90 billion yen was not based on a company announcement, according to a Tuesday filing on the Tokyo Stock Exchange.The company said it is currently in discussions regarding the matter and plans to submit it to a board of directors meeting held the same day.A report had said Infroneer plans to buy stakes in Swing from Mitsubishi Corporation (TYO:8058), Ebara Corporation (TYO:6361) and JGC Holdings (TYO:1963) in a deal exceeding 90 billion yen.Swing, which designs, builds and operates water treatment plants, generated about 82.9 billion yen in revenue in the year ended March 2025 and operates more than 300 sites.
