ARC Resources (ARX.TO) after trade Wednesday said Shell (SHEL) completed its acquisition of the Western Canadian natural-gas producer in a cash-and-share deal valued at about C$22 billion, including assumed debt.
The transaction was carried out via an indirect, wholly-owned subsidiary of Shell, according to the statement.
Per the agreement, ARC shareholders receive 0.40247 Shell shares plus C$8.20 in cash for each ARC share, the company said.
Following the closing, ARC shares are expected to be delisted from the Toronto Stock Exchange two trading days after the transaction closes, the company added.
"ARC shareholders are advised that the Shell shares are listed and traded on the London Stock Exchange. The Shell shares are not, and will not, be listed on the TSX," the company said.
