Questor Technology Signs Letter of Intent to Acquire Emission Rx

Questor Technology (QST.V) has signed a letter of intent to acquire Calgary-based waste gas combustion service company Emission Rx for up to C$3 million, the company said Thursday.

The deal would combine Questor's rental fleet of more than 100 incinerators with Emission Rx's field service support. It would also generate cross-selling opportunities through Emission Rx's installed base of over 800 units across five waste gas combustion product lines. A commercial arrangement with AeroTech Group of Companies would provide Questor with access to fabrication capabilities.

The consideration is composed of C$500,000 in cash at closing and C$500,000 in deferred cash payable 12 months after closing; 3.3 million Questor common shares worth about C$1.0 million, and an earn-out of up to C$1.0 million payable upon achievement of certain performance criteria.

A deal closing would resolve outstanding litigation between the two businesses. However, the LOI will terminate if a majority of Questor's directors are not re-elected at the Sept. 9 annual general meeting.

Cematrix Adds C$8.2 Million in New Contracts

Cematrix (CEMX.TO) after trade Thursday said it has won C$8.2 million in new contract awards for its cellular concrete solutions.The projects include tunnel grouting, lightweight fill for a seawall and tank base, and pipeline grouting. Work is expected to be completed in 2026 and 2027, the company said.The new contracts bring the company's year-to-date contract awards to C$34.4 million, according to the statement."We continue to see strong bidding activity and a robust sales pipeline well into the future," the company added.

Irruptive Metals to Raise C$30 Million in Private Placement of Units

Irruptive Metals (IRR.V) said Thursday after trade that it is raising C$30 million in a private placement of units.The company will issue 24 million units at C$1.25 apiece. Each unit will consist of one share and one 24-month warrant to buy a share at C$1.65. The underwriters have been granted an option to purchase up to an additional 3.6 million units, which, if fully exercised, would raise C$4.5 million.The offering is expected to close on Sept. 10. Proceeds will be used to develop Irruptive's Pimenton Project in Chile.Irruptive Metals shares closed up C$0.15, to C$1.40, on the Toronto Stock Exchange.
