PetroEnergy Resources approved the proposed 1.7 billion Philippine pesos ($27.2 million) sale of a 35% stake in PetroWind Energy to SMFL Mirai, the company said Thursday.
The board approved a term sheet with SMFL Mirai for a 35% stake in PetroWind Energy's outstanding capital stock, with the parties expected to sign it on Wednesday.
The transaction still requires definitive agreements, satisfaction of conditions precedent and corporate and regulatory approvals, including Philippine Competition Commission clearance if required.
Following completion, PetroGreen Energy would hold 40% of PetroWind, while PetroEnergy Resources would retain 25% and SMFL Mirai would own 35%.
PetroEnergy Resources said it will provide further disclosures as material developments related to the proposed transaction emerge.
