GenusPlus Group (ASX:GNP) agreed to acquire 100% of the issued capital of energy and resource services firm MPC Kinetic for a total consideration of up to AU$400 million, according to a Monday filing with the Australian bourse.
The transaction includes an upfront payment of AU$325 million in cash, a deferred cash payment of AU$25 million payable six months after completion, and earn-out cash consideration of up to AU$50 million, subject to achieving the fiscal year 2027 earnings before interest and taxes target of AU$70 million, the filing said.
The consideration is expected to be funded through an equity raise of up to AU$200 million, with the remaining upfront, deferred, and earn-out consideration to be funded from the company's upsized debt facility, existing cash reserves, and operating cash flows, per the filing.
