International Holding Co (ADX:IHC), d/b/a IHC, confirmed that Fount Trust became its ultimate parent entity and now sits above Royal Group under a new ownership framework following a restructuring.
The restructuring of the ownership arrangements is part of the United Arab Emirates-based holding company's long-term stewardship and continuity plans, according to a Monday release.
Under the updated structure, the Pal Group of Companies continues to be IHC's majority shareholder, while Royal Group remains the majority shareholder of Pal Group.
IHC emphasized that the restructuring does not affect its operations, strategy or business activities. Its corporate governance framework, board of directors, executive team, approval processes and ultimate beneficial owners also remain unchanged.
"Our responsibility is to build an institution capable of creating value over generations. That requires clear responsibilities and an ownership framework that can endure as people and circumstances change. The establishment of Fount Trust provides a framework for long-term stewardship, while Royal Group continues to operate and fulfil its role within the ownership structure," IHC Chief Executive Officer Syed Basar Shueb said in a statement. "For IHC, our Board and management remain focused on disciplined execution, the ability to adapt and invest, and building lasting value for our shareholders."
Abu Dhabi-listed IHC has a market capitalization of 840 billion Emirati dirhams, with more than 1,300 subsidiaries across the technology, infrastructure, financial services and consumer industries.
