Deutsche Börse (DB1.F) said Wednesday it placed 600 million euros of unsubordinated, unsecured convertible bonds, with proceeds going to general corporate purposes, including the refinancing of existing debt.
The bonds, which may be converted into shares in the German exchange operator or repaid in cash, will be issued at 100% of their principal amount and will have an annual interest of 0.50%. Settlement is expected on Sept. 16, with the bonds targeted for listing on the Frankfurt Stock Exchange's Open Market.
Deutsche Börse will redeem the bonds upon their maturity on Sept. 16, 2031, at an accreted value of 107.85% of their principal amount, unless previously converted, redeemed or repurchased and canceled. It will also have the option to redeem the bonds on or after Nov. 5, 2029, based on certain price conditions.
BNP Paribas and Deutsche Bank served as joint global coordinators, as well as joint bookrunners along with Barclays and JPMorgan, for the transaction.
