Criteo Completes Luxembourg Redomiciliation, Approves Plan for US Domicile

Criteo (CRTO) said Wednesday it completed the transfer of its legal domicile from France to Luxembourg via a cross-border conversion, effective Wednesday.

In connection with the conversion, Criteo terminated its American depositary share program, with each holder of ADSs receiving one ordinary share per ADS, the company said.

The ordinary shares will begin trading directly on Nasdaq under the ticker symbol "CRTO" upon market open Wednesday, the company added.

Following the conversion and the completion of its works council consultation, the board approved the transfer of the company's legal domicile from Luxembourg to the United States, which will be carried out via a cross-border merger with and into a wholly owned US subsidiary, Criteo said.

The US merger is subject to shareholder approval and other conditions, and is expected to be completed in January 2027.

Criteo said it expects to move the listing of its common stock from Nasdaq to the New York Stock Exchange, effective upon completion of the US merger and subject to applicable listing requirements.
