Parvis Invest Signs Binding LOI to Buy FavorPoint Capital To Expand Into the United States

Parvis Invest (PVIS.V) entered into a binding letter of intent (LOI) to buy 100% of the outstanding equity interests of FavorPoint Capital, a Financial Industry Regulatory Authority (FINRA)-registered broker-dealer headquartered in Scottsdale, Arizona, as it looks to expand into the United States, it said on Thursday. No financial details were given.A single Parvis issuer will be able to raise from Canadian and U.S. accredited investors through one platform, one onboarding process, and one regulated distribution relationship, following closing. Parvis will also be able to act as a placement agent for U.S. Regulation D private offerings, onboard U.S.-based accredited investors directly, and originate new mandates from U.S. real estate sponsors and fund managers, it said.The deal is structured as a two-stage all cash deal. Under the terms, Parvis will buy an initial 24.9% minority interest in FavorPoint, with the remaining 75.1% interest to be acquired following the approval of a Continuing Membership Application (CMA) by the FINRA."Canadian private market issuers on our platform have been asking for U.S. distribution access for some time," said Chief Executive David Michaud. "This acquisition gives them a regulated path to U.S. capital through a single platform, without managing separate distribution relationships or compliance regimes on each side of the border... (FAN.V), which saw its shares gain near 7% yesterday, reported fresh electron microprobe analysis Thursday that it said highlights a "rare, naturally magnetic (Ni-Fe-Co) high-grade alloy mineralogically capable of bypassing midstream smelting constraints in North America."In its statement FAN announced the electron microprobe analysis conducted by SGS Canada in Lakefield, Ontario, as part of the company's ongoing metallurgical program, confirmed the high-grade nickel and cobalt content of the awaruite mineralization (Ni-Fe-Co Alloy) in the RPM Zone at its wholly owned Pipestone XL Project.The company reported awaruite (Ni3Fe) averaging 77.62% nickel and 1.69% cobalt, with peak grades of 86.68% nickel and 6.05% cobalt, based on 33 microprobe analyses of a master composite sample comprising 32 individual samples over 96 meters of drill core from AN-24-02. The analysis also determined that the source mineral for the chromium previously reported at the RPM Zone is chromite, it said.First Atlantic Nickel is now evaluating potential metallurgical processes to separate, concentrate, and process chromite, given the high grade of the RPM Zone chromite.Shares of the company closed up 6.9% to $0.77 on Wednesday on the TSX Venture Exchange.

The scope includes project support services for the subsurface, drilling and wells activities, the statement said.A separate engineering, procurement, construction and commissioning (EPCC) agreement will be signed with a different counterparty for the CPF which includes the direct lithium extraction process and conversion to battery-quality lithium carbonate. The EPCC agreement is also expected to be completed in the second quarter, Thursday's statement added.The SWA project is designed to produce 22,500 tonnes per year of battery-quality lithium carbonate production in its initial phase, the partners said, before adding: he agreement includes a Limited Notice to Proceed that allows work to continue on key activities to de-risk the project and optimize the construction schedule.
