Dai Nippon Printing (TYO:7912) has concluded its tender offer for Austriacard, securing 35.1 million shares, representing 96.55% of the Austrian company's outstanding ordinary shares.The 65.2 billion yen, or 351 million euro deal priced at 10 euro per share, has cleared competition authority approvals in Austria, Germany, and Turkey, according to a Tokyo bourse filing on Wednesday.The company has also secured foreign direct investment or FDI clearances in Greece and Romania, though Austrian FDI approval remains pending.An additional three-month acceptance period will run from Aug. 26 to Nov. 26, to allow remaining shareholders to tender their stakes.Dai Nippon Printing plans to initiate a squeeze-out procedure under Austrian law once FDI clearance is obtained, aiming to make Austriacard a wholly owned subsidiary and pursue delisting from both the Vienna and Athens exchanges.

Dai Nippon Printing (TYO:7912) posted a 48% year-over-year decline in net income attributable to parent company shareholders for the fiscal first quarter to 23.6 billion yen from 45.3 billion yen.The printing and coating tech company's net income per share was 54.77 yen, compared with 100.78 yen a year earlier, according to a Tokyo Stock Exchange filing on Friday.Net sales rose 1.9% to 372.9 billion yen for the three months ended June 30 from 366.1 billion yen a year ago.For the fiscal year ending March 31, 2027, the company expects attributable net income of 95 billion yen, net income per share of 224.45 yen, and net sales of 1.53 trillion yen.The company plans to pay interim and year-end dividends of 19 yen and 22 yen, respectively, for the current year, totaling 41 yen per share, which is higher than the 40 yen annual dividend paid in the previous fiscal year.
