Kontron AG, a subsidiary of Ennoconn Corp (TPE:6414), said all terms and conditions of the company's mandatory tender offer have been met, and the foreign direct investment review has been cleared in Germany, according to a Tuesday filing with the Taiwan stock exchange.The industrial computer manufacturer's shares were down nearly 7% in recent trade.In June, Ennoconn's board had approved a plan to acquire additional shares of Austria-based Kontron through a mandatory public takeover offer in cash.The offer price is set at 23.50 euros per share and was launched after Ennoconn crossed the 30% ownership threshold, in line with German regulations.Upon settlement, Ennoconn will hold 48.36% of the shares in Kontron AG in accordance with the shareholding notification and will not hold a majority of the voting rights after the offer's completion.The company said it does not plan to further increase its shareholding in Kontron.The offer is scheduled to settle on Aug. 20.

Ennoconn (TPE:6414) board has approved a plan to acquire full ownership of Austria-based Kontron, through a mandatory public takeover offer in cash, according to a Wednesday Taiwan Exchange filing.Shares gained about 2% in Thursday's midday trade.The offer price is set at 23.50 euros per share and will be launched after Ennoconn crosses the 30% ownership threshold, in line with German regulations. It currently owns 29.99% stake in Kontron.The transaction, expected to close by end-2026, subject to regulatory approvals.The deal aims to strengthen Ennoconn's position in AI, edge computing and smart infrastructure markets, it said.

Ennoconn (TPE:6414) on Wednesday launched a mandatory takeover offer for Austrian IoT firm Kontron.The Taiwanese firm is offering 23.5 euros per share in cash to acquire shares it does not already own, a premium of 2.4% to Kontron's closing price on June 9. The deal values Kontron at 1.47 billion euros, according to a Reuters report.Kontron said it would suspend a share buyback program it announced in March, pending the completion of the mandatory takeover offer.Kontron chief executive Hannes Niederhauser said he would not accept the offer with respect to the 1.3 million shares held in the company. Niederhauser's shares represent 2.2% of the business.
