(Update with the stock price movement in the headline and first paragraph.)
CoreWeave's (CRWV) stock fell 3.8% in Thursday trading after the company said it created an at-the-market offering program to potentially distribute up to 35 million common shares.
The company will use several financial institutions to act as sales agents or forward sellers for the transactions.
CoreWeave said it is not required to sell any shares under the program and will decide whether to do so based on market conditions and its capital needs.
The equity framework is designed to deliver continuous funding flexibility and support efforts to achieve an investment-grade corporate credit rating, the company said.
