SoundHound AI to Acquire LivePerson for $43 Million

SoundHound AI (SOUN) said Tuesday it has agreed to acquire LivePerson (LPSN) for $43 million.

Under deal terms, SoundHound AI will get $74 million of LivePerson's cash balance prior to repayment of the 2026 convertible senior notes and at closing, SoundHound will retire the discounted debt with a mix of cash and equity, the companies said.

SoundHound AI further anticipates that its 2027 revenue range will be $350 million to $400 million at its minimum level, with at least $100 million of growable contribution from LivePerson's long-tenured customers, the companies added.

The transaction is expected to close in H2, subject to customary regulatory approvals and closing conditions.

Shares of SoundHound AI and LivePerson were up 1.2% and 1.5% in early Tuesday trading.
