SK Inc. (KRX:034730) has agreed to sell its controlling stake in semiconductor silicon wafer manufacturer SK Siltron to Doosan Corp. (KRX:000150) for about 2.3 trillion won.
Under the deal, SK will transfer 47.3 million common shares of SK Siltron, representing a 70.6% stake, to Doosan, according to a regulatory filing from SK on Monday and a separate press release from Doosan on Friday.
The SK board approved the share purchase agreement on Friday. The transfer is scheduled to close by Jan. 31, 2027, subject to regulatory approvals.
SK said the disposal is intended "to improve financial soundness and secure future growth engines."
The company said the transfer price is subject to change, reflecting potential adjusted items. Doosan said separately that the acquisition is expected to be finalized after adjustments to the purchase price.
SK said it may receive additional payments from the buyer tied to SK Siltron's performance through 2034.
Doosan described SK Siltron as "Korea's only semiconductor wafer manufacturing company." Founded in 1983, the target company manufactures and sells 300mm and 200mm silicon wafers for semiconductors. Doosan noted that SK Siltron's 12-inch wafers are among the top three in the global market.
SK Siltron booked operating profit of more than 400 billion won on revenue of 2 trillion won in 2025, Doosan said.
Doosan expects SK Siltron's wafer business to grow at roughly 8% annually, targeting about 3 trillion won in revenue by 2031.
"Siltron will not be listed, and based on its stable business portfolio, it will strive to further enhance shareholder value for Doosan Corp.," a Doosan official was quoted as saying in the company's announcement.
The announcement caps off months of talks about the sale of SK Siltron. In December 2025, SK Group announced that Doosan had been selected as the preferred bidder to acquire SK Siltron.
"Details will be determined after discussions with the preferred bidder, and we will announce related matters once they are finalized or within three months," SK Group said at the time.
In late-morning trading in Seoul on Monday, shares of SK fell nearly 7%, while Doosan jumped over 4%.
