Simple Mart Retail to Spin Off Retail Business to OKmart, Rebrand as Holding Company

Simple Mart Retail (TPE:2945) will spin off its retail channel business to its unit, OKmart, effective Jan. 1, 2027, according to a Tuesday Taiwan Exchange filing.

The business to be transferred has an estimated value of NT$250 million, based on the book value of the assets and liabilities to be spun off.

OKmart is expected to issue 25 million new shares at NT$10 each to Simple Mart as consideration.

The assets and liabilities to be transferred are estimated at NT$3.56 billion and NT$3.31 billion, respectively, based on unaudited book values as of June 30.

Simple Mart said the transaction is an internal group restructuring aimed at specialization and improving overall operational performance. Following the spin-off, Simple Mart will become an investment holding company and be renamed OmniLink Investment Holdings Corp.
