Ramsay Health Care Closes 1.75 Billion Euro Refinancing, Plans ASX Foreign Exempt Listing Via CDIs

Ramsay Health Care (ASX:RHC) unit Ramsay Santé said it has closed its 1.75 billion euro refinancing, comprising a 1.55 billion euro Term Loan B and a 200 million euro revolving credit facility, with the Term Loan B priced at Euribor plus 350 basis points at an original issue discount of 99, anchored by both new and existing lenders, according to a Thursday Australian bourse filing.

The company said it intends to apply for a foreign exempt listing on the ASX and to put in place arrangements so that RHC shareholders may hold their interest in Ramsay Santé through chess depositary interests (CDIs), which would be tradeable on the Australian bourse subject to all applicable approvals, with each CDI providing the equivalent economic exposure and voting entitlement as an ordinary listed share in Ramsay Santé, the filing added.
