NutryFarm International signed an amended and restated implementation agreement and sale and purchase agreement with Corpbon IV, expanding the scope of subsidiaries to be disposed of as part of its restructuring.
The amendments also reflect the company's discharge from judicial management on Feb. 2, removing the judicial manager as a party and extending the long-stop date to Dec. 31, according to a Friday filing with the Singapore Exchange.
The disposal now includes Global Agricapital, alongside LottVision and Nutryfarm Biomedicine International.
Meanwhile, the consideration for the sale shares remains $1, which reflects the dormant and financially distressed status of the entities.
Separately, the healthcare and agriculture products company also disclosed a consulting agreement with JP Consulting Services for restructuring and rehabilitation services. The SG$320,000 fee comprises SG$160,000 in cash and SG$160,000 via the issuance of about 10.7 million shares at SG$0.0015 apiece.
