Norwegian energy group DNO (DNO.OL) unit DNO Bidco revised its proposed acquisition of Capricorn Energy (CNE.L), offering shareholders $5.214 per share in cash.
The revised offer valued the oil producer's entire issued and to-be-issued share capital at $396 million, according to a Thursday filing.
Under the original offer announced Sept. 1, Capricorn shareholders were due to receive $4.224 per share in cash and a special dividend of $0.99 per share. Capricorn's board intends to unanimously recommend that shareholders approve the deal.
The transaction remains subject to previously announced conditions and is expected to become effective in the first quarter of 2027.
