NMP Acquisition (NMP), Gibson Technical Services and Streeterville Capital, the beneficial owner, through GTS Holdings, of 100% of Gibson's capital stock, said Tuesday they have signed a definitive business combination agreement that would result in Gibson becoming a publicly traded company.
The combined company's Class A shares are expected to be listed on Nasdaq under a new ticker, the companies said, adding the proposed business combination values Gibson at an implied enterprise value of $400 million.
The companies said Gibson generated approximately $140 million of unaudited revenue in 2025, up 36% year on year.
The all-stock transaction is subject to the filing and effectiveness of a Form S-4 registration statement following US Securities and Exchange Commission review, as well as approval by NMP's shareholders and other conditions, the companies said.
