Nebius (NBIS) said Monday it has closed a $5.75 billion offering of convertible senior notes in a private offering.
The notes have two series: 0.50% convertible notes due 2030 and 4.50% convertible notes due 2034, the company said.
Initial buyers exercised in full options to buy an additional $450 million of 2030 notes and $300 million of 2034 notes, Nebius said, adding that the principal amount of the 2030 notes is $3.45 billion, and the principal amount of the 2034 notes is $2.3 billion.
Net proceeds will be used to support growth projects, including expenditures linked to the construction of data centers, investments to back AI cloud, expansion of the data center footprint, and for general corporate purposes, the company said.
