Millrose Properties (MRP) plans to offer up to $1 billion in senior notes in two tranches, comprising $500 million in senior notes due 2029 and $500 million in senior notes due 2031, the company said Tuesday.
Proceeds of the offering plus $500 million from a term loan facility will be used for general corporate purposes, which may include the purchase of homesites from the combined Dream Finders Homes (DFH) and Beazer Homes USA (BZH) entity, and to repay debt under Millrose's revolving credit facility, the company said.
If the Dream Finders deal is not consummated by May 13, 2027, Millrose will use part of the offering proceeds, plus cash and/or borrowings under the revolving credit facility, to redeem $500 million of the 2031 notes, it said.
