Lindian Resources (ASX:LIN) agreed to acquire full ownership of the Sareco mixed rare earths carbonate processing facility in Kazakhstan and associated infrastructure, increasing its ownership from a 51% stake planned under a joint venture disclosed in March, according to a Monday filing with the Australian bourse.
The transaction has been restructured to allow Lindian to acquire the remaining 49% stake previously intended to be held by RA Group, per the filing.
The consideration under the deal of up to $20 million, compared with a $15 million indicative amount disclosed in March, mainly reflects the inclusion of additional onsite immovable assets identified during due diligence, the company said.
It added that RA Group will receive up to a further $22 million in Lindian equity, comprising $15 million in ordinary shares and $7 million in performance rights, each at a deemed issue price of AU$0.775.
Lindian Resources is targeting first processing at Sareco from the fourth quarter.
The company's shares surged 15% in recent Monday trade.
