Iyogin Holdings (TYO:5830) and Ehime Bank (TYO:8541) entered into a basic contract to conduct discussions regarding a potential business integration, according to a joint filing with the Tokyo bourse Friday.
The companies are considering a share exchange targeted for April 1, 2027, in which Japanese lender Iyogin will become the parent of Ehime Bank, subject to the necessary approvals.
Ehime Bank's shares are intended to be delisted from the Tokyo Stock Exchange before the effective date of the share exchange.
The two parties intend to work together to ensure mutual growth by boosting their management base, improving financial intermediary functions, and creating a sustainable business model.
