Norwegian oil and gas company DNO has revised its proposed acquisition of Capricorn Energy to an all-cash offer that still values the UK-listed energy company at about $396 million on a fully-diluted basis.
Under the revised terms, DNO would pay Capricorn shareholders $5.214, or 388 British pence in cash for each share, which represents a 46% premium to Capricorn's closing price of 266 pence on March 10, the day before the start of the offer period.
This provides shareholders with greater certainty, as they are no longer reliant on Capricorn's board to pay the special dividend.
DNO said the revised proposal increases Capricorn's implied value by about $36 million, with the company expected to fund the acquisition and certain related fees and expenses using existing cash resources.
