Denso's (TYO:6902) board approved an absorption-type merger with software subsidiary Denso Create and a company split with Denso Techno's in-vehicle software business, effective Jan. 1, 2029.
The transaction aims to consolidate technology and expertise amid rising vehicle intelligence, requiring no shareholder approvals, according to a Tokyo bourse filing on Monday.
Denso will succeed to Denso Techno's 29 billion yen software business assets and liabilities, with no changes to its name, capital, or leadership.
