Carnaby Resources (ASX:CNB) registered its scheme booklet with the Australian Securities and Investments Commission, marking a key step towards Evolution Mining's (ASX:EVN) proposed acquisition of the remaining Carnaby shares it does not already own, according to an Australian bourse filing on Monday after market hours.
The independent expert has concluded that the scheme is fair, reasonable and in shareholders' best interests, with the board unanimously recommending that shareholders vote in favor, subject to no superior proposal, per the filing.
The scheme meeting is scheduled for Oct. 26 in Perth, with proxy votes due by Oct. 24, while the company confirmed that Evolution Mining has waived the condition requiring clearance from the Australian Competition and Consumer Commission, the filing added.
