Apertura Energy (VZLA.L) signed a non-binding heads of terms to acquire Brazilian oilfield services company Conterp Group to support its strategy of becoming an exploration and production company in Venezuela.
The London-listed energy group is offering a total of 25 million pounds sterling on a cash- and debt-free basis, with half to be settled in cash and the remaining by issuing new Apertura shares, according to a Tuesday filing.
The proposed transaction remains subject to due diligence procedures, regulatory and shareholder approvals, and the completion of a placing offer.
