Amaero International Says Federal Court to Hear Application Regarding Schemes of Arrangement for Redomiciling to US

Amaero International (ASX:3DA) said that the Federal Court of Australia will hear an application on June 10 by Amaero seeking approval of schemes of arrangement proposed by resolutions, which will be considered and potentially passed at the meetings of its members and option holders on Friday, according to a Wednesday Australian bourse filing.

Under the schemes of arrangement, Amaero Inc. will acquire 100% of Amaero's issued shares, Amaero option holders will receive options in Amaero Inc. in exchange for the cancellation of their options in Amaero, and Amaero Inc. will become the new ultimate parent company of Amaero and its units, redomiciling the firm to Delaware in the US.

The members and option holders seeking to oppose the approval of the proposed schemes of arrangement must file and serve on Amaero a notice of appearance, per the filing.
