Amaero International (ASX:3DA) said the Federal Court of Australia made orders approving the schemes of arrangement under which Amaero US HoldCo will become the new ultimate parent company of Amaero and its units, re-domiciling the firm to Delaware in the US, according to a Wednesday Australian bourse filing.
Under the schemes of arrangement between Amaero and its shareholders, as well as between Amaero and its option holders, Amaero Inc. will acquire 100% of Amaero's issued shares, and Amaero option holders will receive options in Amaero US HoldCo in exchange for the cancellation of their options in Amaero.
The company will lodge an office copy of the court orders with the Australian Securities and Investments Commission on Thursday, per the filing.
Amaero International's shares fell nearly 5% in recent trading on Wednesday.
