Accelerant to Be Taken Private by Thoma Bravo in $4 Billion Deal; Shares Rise Pre-Bell

Accelerant (ARX) has agreed to be acquired by Thoma Bravo in an all-cash transaction with an enterprise value of more than $4 billion, the company said Thursday.

Under the terms of the deal, Accelerant shareholders will receive $20.25 per share in cash. Shareholders will also receive a ticking fee at a rate of 6% per year, if the transaction's closing is delayed by certain pending insurance regulatory approvals.

The deal is set to close in H1 2027, subject to customary closing conditions.

Accelerant said affiliates of Altamont Capital Partners, which hold about 82% of the company's outstanding voting rights, have agreed to vote their shares in favor of the deal. Altamont intends to retain an equity ownership in the company, together with Thoma Bravo.

Upon completion of the deal, Accelerant shares will no longer be traded on the New York Stock Exchange.

Shares of Accelerant rose more than 44% in pre-bell activity on Thursday.
