-- WEX (WEX) plans to separate its chairman and CEO roles following its May 14 annual meeting and add three new independent directors under a cooperation agreement with Impactive Capital Master Fund.
The refreshed slate includes Kurt Adams, Ellen Alemany and Lauren Taylor Wolfe, Impactive's co-founder, who will stand for election at the rescheduled meeting, WEX said Monday in a statement. Impactive will withdraw its nomination notice and support the revised lineup as part of the agreement.
WEX will nominate eight directors, bringing the board to 11 members after the meeting. Melissa Smith will continue as president and CEO and remain on the board once the chair and CEO roles are split.
