-- Nova Leap Health (NLH.V) subsidiary Earth Angels has acquired Parkwood Home Care, which has operations in Nova Scotia, for $3.5 million, the company said on Friday.
Nova Leap will pay $3.2 million in cash, along with a $300,000 promissory note over a three-year period, a statement said.
The cash on closing was funded by way of a $2.2 million draw on Nova Leap's acquisition debt facility and by $1 million of cash on hand. The new debt is repayable over a five-year term. The company said it still has access to up to US$3.05 million in available credit.
Parkwood reported unaudited revenue of $3.8 million and adjusted EBITDA of $785,000 for its 2025 fiscal year.
"Our Nova Scotia operations were Nova Leap's fastest growing geography and delivered record results in 2025," said chief executive Chris Dobbin. "The acquisition of Parkwood by Earth Angels represents a logical next step in building further density in a market we know well. It enhances our ability to scale efficiently, deepens our presence in the province and expands our role across the continuum of care, positioning our Nova Scotia platform for sustained growth."
Nova Leap shares closed unchanged at $0.37 on Thursday on the TSX Venture Exchange.
