MS Group、株式売却により強制買収の対象に、株価は67%急騰

-- MS Group Holdings Ltd(香港証券取引所:1451)は、所有構造の変更に伴い、無条件の現金による強制的な公開買付けの対象となった。

プラスチックボトルメーカーである同社の株価は、水曜日の午前中の取引で約67%上昇した。

Chau Ching会長は、Ching Wai Holdingsを通じて、MS Groupの株式36.7%(7500万株)をL.V.E.P.に、1株当たり0.80香港ドル、総額6000万香港ドルで売却した。

L.V.E.P.は、執行役員兼最高経営責任者(CEO)のChung Kwok Keung Peter氏が全額出資しており、同氏は共同行動者らとともに、今回の取引前にMS Groupの株式の約35.5%を保有していた。

買収完了後、両社の合計保有比率は約72.2%に上昇し、これにより無条件の現金による公開買付けが義務付けられた。

Rainbow Capitalは、L.V.E.P.を代表して、残りの株式を1株当たり0.80香港ドルで取得し、未行使のストックオプションを消却することを提案した。

この買付価格は、4月20日の終値である1.23香港ドルに対して約35%のディスカウントとなっている。
