-- ヤンコール・オーストラリア(ASX:YAL)の株価は、同社が火曜日遅くにオーストラリア証券取引所に提出した書類の中で、EMRキャピタル・アドバイザーズ、ケストレル・コール(EMR)、アダロ・キャピタル、EMRキャピタル・マネジメントと、クイーンズランド州のケストレル炭鉱合弁事業の80%の権益を保有するケストレル・コール・グループを最大24億ドルで買収する拘束力のある取引文書を締結したと発表したことを受け、水曜日の直近の取引で1%上昇した。 買収対価には、完了時に支払われる18億5000万ドルの前払い現金と、最大5億5000万ドルの条件付き現金が含まれる。 買収完了は、規制当局の承認を含む前提条件の充足を条件とし、第3四半期末を目標としている。

Sun Pharmaceutical to Acquire US-Based Organon in $11.8 Billion Deal

Sun Pharmaceutical Industries (NSE:SUNPHARMA, BOM:524715) has agreed to acquire US-based Organon & Co in an all-cash deal at an enterprise valuation of $11.8 billion, according to a Monday filing to the Indian stock exchanges.Under the pact, Sun Pharmaceutical will buy all outstanding shares of Organon for $14.00 per share. It plans to fund the acquisition through a combination of available cash resources and committed financing from banks.The acquisition is estimated to boost Sun Pharmaceutical's revenues to $12.4 billion.Organon, which was spun off from Merck in 2021, specializes in women's health and biosimilars and has more than 70 products sold across 140 countries.The Organon buyout is part of Sun Pharmaceutical's strategy "of growing its Innovative Medicines business," according to Sun Pharma's statement.The transaction is subject to customary closing conditions, including receipt of required regulatory approvals andapproval by Organon stockholders.
